These Terms of Service ("Terms") govern your access to and use of TermsKeeper ("TermsKeeper", "we", "us", or "our"), including the website, application, APIs, and related services (collectively, the "Service"). By using the Service, you agree to these Terms.
Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
Subscriptions and billing
Paid plans are billed in advance on a recurring basis. You authorize us (and our payment processor) to charge your payment method for your plan fees, taxes, and any applicable add-ons. You can cancel at any time, and your plan will remain active until the end of the current billing period.
Acceptable use
- • Do not use the Service for unlawful, harmful, or abusive activity.
- • Do not attempt to access data that does not belong to you.
- • Do not reverse engineer, scrape, or disrupt the Service.
- • Do not upload malware or content that infringes on others' rights.
Your content
You retain ownership of the contracts and data you upload. You grant us a limited license to host, process, and display your content solely to provide the Service. You are responsible for ensuring you have the right to upload and process the content.
AI features
AI features are provided for convenience and may produce incorrect or incomplete outputs. You are responsible for reviewing AI-generated outputs before relying on them for legal or business decisions.
Third-party services
The Service integrates with third-party providers (such as payment, email, and AI vendors). Your use of those services may be subject to their terms and policies.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if needed to protect the Service or other users. Upon termination, your access to the Service will end, but the sections that by their nature should survive will remain in effect.
Disclaimers
The Service is provided "as is" and "as available." We disclaim all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, TermsKeeper will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or relating to your use of the Service.
Indemnification
You agree to indemnify and hold harmless TermsKeeper from any claims, liabilities, damages, and expenses arising from your use of the Service or violation of these Terms.
Governing law
These Terms are governed by the laws of the state where TermsKeeper is headquartered, without regard to conflict of law principles.
